Welcome to Starlight Studios! These terms and conditions outline the rules and regulations for the use of Starlight Studios' services, located at 555 Golden Gate Avenue, San Francisco, CA 94102, USA.
By accessing this website and utilizing our video production services, we assume you accept these terms and conditions in full. Do not continue to use Starlight Studios' website or services if you do not accept all of the terms and conditions stated on this page.
All services are subject to a written agreement (the "Agreement") between Starlight Studios and the Client. The Agreement will outline the scope of the project, deliverables, timelines, payment terms, and other relevant details. The terms and conditions outlined herein are incorporated into the Agreement.
Payment terms will be detailed in the Agreement. Typically, a deposit is required upon signing the Agreement to secure Starlight Studios' services. The remaining balance is typically due upon completion of the project and delivery of the final content.
Starlight Studios reserves the right to suspend or terminate services if payments are not made in accordance with the Agreement. Late payments may be subject to interest charges at a rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.
Any changes to the scope of the project after the Agreement is signed may result in additional charges and extended timelines. Changes must be submitted in writing and approved by both Starlight Studios and the Client. Starlight Studios will provide a revised estimate for the additional work.
Unless otherwise agreed upon in the Agreement, Starlight Studios retains all rights, title, and interest in and to the raw footage, project files, and other pre-existing materials used in the project. Upon full payment, the Client will own the rights to the final edited video content.
Starlight Studios retains the right to use the final content for promotional purposes, including but not limited to, website display, portfolio inclusion, and social media marketing, unless otherwise agreed upon in the Agreement.
The Client is responsible for providing Starlight Studios with all necessary information, materials, and approvals required to complete the project. This includes, but is not limited to, scripts, logos, branding guidelines, access to locations, and talent releases.
The Client warrants that they have the necessary rights and permissions to use all materials provided to Starlight Studios, including but not limited to, music, images, and trademarks. The Client will indemnify and hold Starlight Studios harmless from any claims arising from the Client's use of such materials.
If the Client cancels the project after the Agreement is signed, the deposit is non-refundable. If cancellation occurs after pre-production has begun, the Client will be responsible for payment for all work completed up to the point of cancellation, as determined by Starlight Studios.
Starlight Studios reserves the right to cancel the project due to unforeseen circumstances, such as illness, equipment failure, or force majeure. In such cases, Starlight Studios will refund any payments made by the Client for services not yet rendered.
Starlight Studios agrees to keep confidential all information provided by the Client in connection with the project. This includes, but is not limited to, trade secrets, financial information, and customer data. The confidentiality obligation will survive the termination of the Agreement.
Starlight Studios will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the project, including but not limited to, loss of profits, loss of data, or business interruption. Starlight Studios' total liability for any claim arising out of or in connection with the project will not exceed the total amount paid by the Client to Starlight Studios under the Agreement.
These terms and conditions and the Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these terms and conditions or the Agreement will be resolved in the state or federal courts located in San Francisco, California.
Starlight Studios reserves the right to amend these terms and conditions at any time. Any amendments will be effective upon posting on this website. It is the Client's responsibility to review these terms and conditions periodically for any changes.

By continuing to use our services, you acknowledge that you have read, understood, and agreed to be bound by these terms and conditions.
Neither Starlight Studios nor the Client shall be liable for any failure or delay in performance under this Agreement, other than the obligation to make payments, for causes beyond its reasonable control, including but not limited to, acts of God, war, terrorism, civil unrest, labor disputes, natural disasters, pandemics, or governmental regulations (a "Force Majeure Event"). If a Force Majeure Event occurs, the affected party shall promptly notify the other party and shall use commercially reasonable efforts to mitigate the effects of the Force Majeure Event.
If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent under law. This shall not affect the validity and enforceability of the remaining provisions.
These Terms and Conditions and any applicable service agreement constitute the entire agreement between the Client and Starlight Studios concerning the use of the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the Client and Starlight Studios with respect to the Services.
